Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LuwaSuite platform, website, and related services (collectively, the "Service") provided by LuwaSuite Ltd ("LuwaSuite", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

• "Account" means your registered account with LuwaSuite
• "Customer" means the organisation that has subscribed to the Service
• "User" means any individual authorised by the Customer to use the Service
• "Customer Data" means data uploaded to the Service by the Customer or Users
• "Subscription" means the paid plan selected by the Customer

To use the Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access
• Be authorised to bind the Customer to these Terms

You are responsible for all activities under your account.

4.1 Subscription Plans

Access to the Service requires a paid Subscription. Current pricing and plan details are available on our Pricing page.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, you must subscribe to continue using the Service.

4.3 Payment Terms

• Subscriptions are billed monthly or annually in advance
• All fees are exclusive of VAT, which will be added where applicable
• Payment is due on the billing date; late payments may result in service suspension
• We may change pricing with 30 days' notice

4.4 Refunds

Subscriptions are non-refundable except where required by law. If you cancel, you retain access until the end of the current billing period.

5.1 Permitted Use

You may use the Service for your internal business purposes in accordance with these Terms and applicable laws.

6.1 Ownership

You retain all rights to Customer Data. We do not claim ownership of your data.

6.2 Licence

You grant us a limited licence to use Customer Data solely to provide and improve the Service.

6.3 Data Protection

Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement.

6.4 Data Export

You may export Customer Data at any time during your Subscription.

The Service, including all software, content, designs, and trademarks, is owned by LuwaSuite or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

"LuwaSuite™" and "LuwaScore™" are registered trademarks of LuwaSuite Ltd. All rights reserved. Unauthorised use of these marks is strictly prohibited.

We aim to provide 99.9% uptime but do not guarantee uninterrupted access. We may suspend the Service for maintenance, security, or legal reasons. We will provide reasonable notice of planned maintenance where possible.

Important Notice:

LuwaSuite is a compliance management tool, not a legal service. We do not provide immigration advice, legal advice, or guarantee compliance with any laws or regulations. You remain responsible for your compliance obligations as a sponsor licence holder.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the maximum extent permitted by law:

• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for loss of data, profits, business, or goodwill
• We are not liable for decisions made based on information in the Service

You agree to indemnify and hold LuwaSuite harmless from claims arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

12.1 By You

You may cancel your Subscription at any time with 30 days' notice. Access continues until the end of the current billing period.

12.2 By Us

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if required by law.

12.3 Effect of Termination

Upon termination, your right to use the Service ends. You may request data export within 30 days; after this, we may delete Customer Data.

• Governing Law: These Terms are governed by the laws of England and Wales
• Jurisdiction: Disputes shall be resolved in the courts of England and Wales
• Entire Agreement: These Terms constitute the entire agreement between us
• Severability: Invalid provisions shall be modified to the minimum extent necessary
• Waiver: Failure to enforce a right does not waive future enforcement
• Assignment: You may not assign these Terms without our consent

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance. Continued use after changes take effect constitutes acceptance of the new Terms.
